Terms of Service

1. Acceptance of Terms

By accessing or using the TenderGreen mobile app or web services (the "Services") provided by TenderGreen NZ Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Services.

2. Description of Service

TenderGreen provides construction-industry tools including AI-assisted waste-bin scanning, indicative waste-disposal levy calculations, an aggregated feed of publicly listed government tenders, toolbox safety meeting management, and crew administration. TenderGreen is an independent product and is not affiliated with any New Zealand government entity.

3. Account Registration

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your credentials, including any TOTP 2FA secret.
• You agree to provide accurate, current, and complete information at registration.
• You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload content that is misleading, defamatory, or infringes third-party rights
• Attempt to reverse-engineer, decompile, or extract source from the Services
• Use automated means (bots/scrapers) to access the Services without our written consent
• Interfere with or disrupt the Services or supporting infrastructure

5. Subscription, Fees & Payment

Some features require a paid subscription. Subscription fees, billing cadence, and cancellation terms are presented at the point of purchase. Payments are processed by Stripe; we do not store your full payment card details. Refunds are governed by the New Zealand Consumer Guarantees Act 1993 and our published refund policy.

6. Government Information & Levy Calculations

TenderGreen aggregates and displays publicly available information from official New Zealand government sources, including but not limited to the Ministry for the Environment, Kāinga Ora, Waka Kotahi, the Government Electronic Tenders Service (GETS), and territorial local authorities. All such information is provided for convenience only. Indicative Waste Disposal Levy figures generated by the app are not official assessments. Always confirm tender requirements with the issuing agency and confirm final levy amounts with your disposal facility.

7. Intellectual Property

All content, features, and functionality of the Services (excluding user-uploaded content) — including text, graphics, logos, code, and software — are the exclusive property of TenderGreen NZ Ltd and its licensors. You retain ownership of content you upload but grant us a worldwide, non-exclusive licence to host, store, and process it solely for the purpose of providing the Services.

8. Privacy

Your use of the Services is also governed by the Privacy Act 2020 (New Zealand) and our Privacy Policy.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be error-free, uninterrupted, or that any AI-generated waste classification will be accurate in every case. Users are responsible for verifying compliance outputs before relying on them for regulatory submissions.

10. Limitation of Liability

To the maximum extent permitted by law, TenderGreen NZ Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services. Nothing in these Terms limits or excludes any guarantees, rights, or remedies you have under the Consumer Guarantees Act 1993 to the extent that Act applies and cannot be excluded.

11. Indemnification

You agree to indemnify and hold harmless TenderGreen NZ Ltd, its officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Services or your breach of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice, for breach of these Terms or for any other reason. Upon termination, your right to use the Services ceases immediately.

13. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated by updating this page and the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of New Zealand.
